Use of our API services (including SMS Verification, One-Time Password [OTP] delivery, and security architecture) does not guarantee total immunity from cyber threats, service outages, or telecom carrier delays. Any reliance you place on such tools or advisory information is strictly at your own risk.

Terms & Conditions 

1. Acceptance of Terms

By accessing our website, purchasing our consulting services, or integrating our APIs (including SMS/OTP delivery systems), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you are expressly prohibited from using the site or services.

2. Services Offered

Hemia Nao Tek Ltd provides digital infrastructure services, including:

  • SMS Verification and OTP Delivery APIs.

  • Bespoke Software Solution Architecture.

  • Technology & Security Consulting.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice, provided that active enterprise SLA commitments will be honoured under separate master service agreements.

3. Account Responsibilities & API Usage

If you create an account or request API credentials to access our services:

  • Security: You are responsible for maintaining the confidentiality of your API keys, credentials, and account details.

  • Prohibited Use: You agree NOT to use our platform or messaging services to:

    • Send unsolicited bulk communications (Spam).

    • Engage in fraudulent, deceptive, or illegal activities.

    • Transmit malicious code, viruses, or phishing links.

    • Violate local telecommunications regulations or international data privacy standards.

We reserve the right to immediately terminate or suspend access to any user or client found violating these usage policies.

4. Service Availability & OTP Delivery

  • Best Efforts: Our OTP and verification platform relies on third-party telecommunications networks and global routing infrastructure. While we engineer our platform for maximum uptime, we do not guarantee 100% message delivery times due to factors outside our direct control (e.g., local network congestion, handset power state, carrier downtime).

  • Maintenance: Scheduled maintenance will be communicated in advance whenever feasible.

5. Intellectual Property

All content, code, branding, logos (including the Hemia Nao Tek name and design assets), website layout, and proprietary API architectures remain the exclusive property of Hemia Nao Tek Ltd. Nothing in these Terms grants you ownership or rights to use our intellectual property without prior written permission.

6. Limitation of Liability

To the maximum extent permitted by applicable law in the Republic of Vanuatu, Hemia Nao Tek Ltd, its directors, employees, or partners shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

  • Your use of, or inability to use, our website or API services.

  • Any unauthorised access to or use of our servers and/or any personal information stored therein.

  • Any message delivery failures, delays, or telecom network interruptions.

7. Indemnification

You agree to indemnify, defend, and hold harmless Hemia Nao Tek Ltd from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of our services, violation of these Terms, or infringement of any third-party rights.

8. Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Vanuatu. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Vanuatu.

9. Changes to Terms

We reserve the right to update or replace these Terms at any time. Updates will be posted directly to this page with an updated "Effective Date." Continued use of our platform constitutes acceptance of the modified Terms.
